sources for company founders or employees who need independent
advice and representation in transactions with their companies
(for example, a spin-off where an executive, with company approval,
is setting up a separate venture to exploit a particular technology
or, at the other extreme, a dispute where the individual needs
legal assistance in negotiating a separation package with the
